1. Acceptance of Terms

These Terms and Conditions (the "Terms") govern access to and use of the Brio platform (the "Platform"), owned by VILLACORTA SOFTWARE, S.A. de C.V. (hereinafter, "Brio" or the "Company").

By accessing and using the Platform, you (the "User" or "you") expressly agree to be bound by these Terms. If you use the Platform on behalf of a company or other legal entity, you represent and warrant that you have sufficient authority to bind such entity to these Terms. If you do not agree with any part of these terms, you must not use the Platform.

2. Service Description

Brio is a SaaS platform that provides enterprise collaboration services, including:

  • Chat with multiple artificial intelligence providers (GPT, Claude, Gemini, Llama)
  • Kanban-style project and task management
  • Collaborative notes with encryption
  • Secure file storage
  • Team management and role-based access control

3. Artificial Intelligence Features

The Platform includes features based on artificial intelligence models provided by third parties (including, but not limited to, language model providers and cloud computing services). Results generated by such features are for informational purposes only and may contain errors, omissions, or outdated information.

Brio does not guarantee the accuracy, completeness, or suitability of outputs generated by artificial intelligence and does not constitute, under any circumstances, professional advice of a legal, financial, accounting, medical, tax, or any other regulated nature. The User is solely responsible for reviewing and validating any content generated before using it or making decisions based on it.

The User agrees not to use the artificial intelligence features to generate or disseminate illegal, defamatory, discriminatory content, content that infringes third-party rights, or that violates any applicable legal provision.

4. Third-Party Services

The Platform relies on services provided by third parties, including but not limited to payment processors (Stripe), cloud infrastructure providers, and artificial intelligence model providers. By using the Platform, the User authorizes Brio to share strictly necessary information with such third parties for the proper provision of the service.

Brio shall not be liable for failures, unavailability, or acts attributable to such third parties, provided that Brio has reasonably selected its providers.

5. Registration and Account

To use certain Brio services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain the security of your password and accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Not share your account with third parties

6. Plans and Payments

6.1 Trial Period

We offer a 7-day free trial period. No credit card is required to start the trial. At the end of the trial, your account will be limited until you select a payment plan.

6.2 Subscription Plans

Plan prices are available on our website. Payments are processed through Stripe on behalf of VILLACORTA SOFTWARE, S.A. de C.V. Unless otherwise indicated, prices are displayed in USD and do not include taxes, which will be calculated and added based on the User's jurisdiction.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless the User cancels in advance through the billing portal. If the payment provider rejects the charge, Brio may suspend or limit access to the Platform until the payment situation is regularized.

6.4 Cancellation and Refunds

You may cancel your subscription at any time through the billing portal. We do not offer refunds for periods already billed, but you will have access to the service until the end of the paid billing period.

7. Acceptable Use

You agree NOT to use the Platform to:

  • Violate any applicable law or regulation
  • Distribute malware, viruses, or any malicious code
  • Engage in fraudulent or deceptive activities
  • Infringe third-party intellectual property rights
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer the Platform
  • Resell or redistribute the service without express authorization

8. Intellectual Property

Brio and its licensors retain all intellectual property rights over the Platform, including but not limited to software, source code, interfaces, designs, logos, trademarks, and databases.

The User retains all rights to content uploaded or generated through the Platform ("User Content"). The User grants Brio a worldwide, non-exclusive, limited, revocable, royalty-free license to host, process, encrypt, transmit, and display User Content solely for the purpose of providing the Platform services.

Brio may use aggregated and/or anonymized information derived from use of the Platform for statistical purposes, service improvement, and metrics development, provided such information does not allow individual identification of the User.

9. Privacy and Security

9.1 Personal Data Processing

Brio, as the data controller, will process User information in accordance with applicable data protection laws in each jurisdiction, including GDPR for European users. Details about categories of data processed, purposes, and mechanisms to exercise your rights are available in our Privacy Policy.

9.2 Information Security

We implement reasonable administrative, technical, and physical security measures to protect User information against unauthorized access, use, or disclosure, in accordance with industry best practices. We use AES-256-GCM encryption for data at rest and TLS for data in transit. However, no system is completely secure, so Brio cannot guarantee absolute security of information transmitted over the Internet.

9.3 User Rights

The User may exercise at any time their rights of access, rectification, erasure, objection, and data portability, as well as revoke consent for data processing, through the mechanisms established in the Privacy Policy or by writing to privacy@brio-ai.com

10. Indemnification

The User agrees to hold harmless, defend, and indemnify Brio, as well as its officers, employees, and affiliates, against any claim, action, lawsuit, proceeding, damage, loss, liability, cost, or expense (including reasonable attorney fees) arising from or related to: (i) the User's use of the Platform in violation of these Terms; (ii) any content the User uploads or generates through the Platform; or (iii) the User's violation of any third-party right or applicable legal provision.

11. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • We do not guarantee that the Platform will be uninterrupted or error-free
  • We shall not be liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the last 12 months

12. Termination

We may suspend or terminate your access to the Platform immediately, without prior notice, for any reason, including violation of these Terms. You may cancel your account at any time from your account settings. Upon termination, User data will be deleted in accordance with our data retention policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Modifications will take effect 30 (thirty) calendar days following their publication on the Platform or notification to the User by email. Continued use of the Platform after such period will constitute acceptance of the modified Terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the federal laws of the United Mexican States. For interpretation and enforcement thereof, the parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other venue that may correspond to them by reason of their present or future domicile. However, for users in the European Union, consumer protection laws of their country of residence shall prevail when more favorable.
